1. Who we are and when these terms apply

By creating an account, placing an order, starting a free trial or using any of our services, you agree to these terms. If you use our services on behalf of a company, you confirm that you are authorised to accept these terms for it.
2. Our services
We currently provide:
- International private networking, starting with our Shanghai–Japan IPLC connection, offered as dedicated bandwidth plans;
- A unified AI API that gives access to AI models for tasks such as coding and image generation, with further capabilities added over time;
- Free trials and optional on-site hardware for selected connections.
The connections, models, specifications and prices available at any time are those shown on our website or in your order. We may add, change or retire features, connections or models. If a change materially reduces a paid service you are using, we will give you reasonable notice.
3. Your account
- Give us accurate and complete information when you sign up and keep it up to date.
- Keep your login details and API keys secure. You are responsible for activity under your account and keys.
- Tell us promptly at team@support.tokilabs.xyz if you suspect unauthorised use.
4. Acceptable use
You may use our services only for lawful purposes and in line with the laws that apply to you and to the places where you use them. You must not use our services to:
- break any law or regulation, or help anyone else do so;
- create, store or transmit content that is illegal, infringes others’ rights, or is fraudulent, abusive or harmful;
- attack, probe or disrupt any network or system, including ours, or send spam or malware;
- resell, sublease or share the services with third parties without our written consent;
- get around usage limits, security measures or content safety controls.
When you use AI models through our API, you must also follow the usage policies of the model providers, which we make available in the console.
5. AI API terms
- AI outputs are generated automatically and can be inaccurate. Review them before relying on them, especially for code that runs in production.
- You are responsible for your inputs and for how you use outputs. Do not submit personal or confidential data unless it is needed for your task.
- We screen inputs and outputs for safety and may block requests that break these terms. Generated images carry AI-generated labels, and you must not remove them.
- The models on offer depend on what can be lawfully provided in your region and may change.
6. Fees and payment
- Prices, billing cycles and included traffic or bandwidth are set out on our website or in your order.
- Private networking services are paid in advance for the chosen billing cycle. AI API usage is billed by usage, such as per token or per image.
- Prices exclude taxes unless stated. You are responsible for any taxes that apply to your purchase.

7. Free trials
Free trials last [trial period] unless we agree otherwise, and are limited to one per customer. Trials are provided as-is, without any service level commitment, and we may end a trial early if it is misused.
8. On-site hardware

- Keep it in a suitable environment and do not modify or move it without telling us.
- When your service ends, return the hardware in good condition or let us collect it. You may be charged for loss or damage beyond normal wear.
9. Availability and maintenance

10. Suspension and termination
- You can stop using our services at any time. Paid periods already started are not refunded except as set out in our refund policy.

11. Intellectual property
We own our website, software, brand and documentation. You keep your rights in your data and inputs. Subject to these terms and the model providers’ policies, you may use the outputs you generate.
12. Disclaimers and limitation of liability
Our services are provided “as is” and “as available”. To the extent the law allows, we do not give warranties that the services will be uninterrupted or error-free, or that AI outputs will be accurate.
To the extent the law allows, we are not liable for indirect or consequential losses, or for loss of profit, revenue or data. Our total liability for any claim is limited to the fees you paid us for the affected service in the [12] months before the claim. Nothing in these terms limits liability that cannot be limited by law.
13. Changes to these terms
We may update these terms. We will post the new version on this page and, for material changes, notify you by email or in the console at least [30] days before they take effect. If you keep using the services after that, the new terms apply.
14. Governing law and disputes
